Re:    Republic of Colombia: SPF Trust Fund Grant for Protection of Land and Patrimony of
Internally Displaced Peions Project Phase III (Additional Financing)
Amended and Restated Grant Agreement No. TF094596
Dear Madam and Sirs,
We refer to the grant agreement for the above-mentioned Project signed by the Agencia Presidencial
para la Acci6n Social y la Cooperaci6n Internacional (Accidn Social) on behalf of the Republic of Colombia
("Beneficiary"), the International Organization for Migrations (IOM) ("Recipient") and the International
Bank for Reconstruction and Development ("World Bank") as administrator of grant funds provided under
the State and Peace-Building Fund ("SPF"), dated October 5, 2009, as amended on June 12, 2012 ("Grant
Agreement"); such Project being carried out by the Unidad Administrativa de Gesti6n de Restitucidn de
Tierras Despojadas ("PIE").
We also refer to the letter from the Ministerio de Agricultura y Desarrollo Social of the Beneficiary
dated July 6, 2012, requesting additional funds to finance the implementation of additional activities under
the Project. We are pleased to inform you that, after due consideration, the World Bank, as administrator of
grant funds under the SPF, proposes to extend additional funds to the above-mentioned Project in an amount
not to exceed one million United States Dollars (U.S.$1,000,000). To give-effect to such proposal, the World
Bank agrees to amend and restate the Grant Agreement as set forth in the Attachment to this Amendment
Letter (the "Amended and Restated Grant Agreement").


Please confirm your agreement with this Amendment Letter, including its Attachment, by signing,
dating and returning it to us. This Amendment Letter, including its Attachment, shall be executed in four
counterparts each of which shall be an original.
The provisions set forth in this Amendment Letter shall become effective as of the date of the last
countersignature upon compliance by the Recipient and/or the PIE of the following conditions: (i) one fully
executed original of this Amendment Letter has been delivered to the World Bank; and (ii) evidence,
acceptable to the World Bank, that the Subsidiary Agreement referred to in Section 2.03 (b) of the Amended
and Restated Grant Agreement has been entered into by the parties thereto. However, the offer of this
Amendment Letter shall be deemed withdrawn if the World Bank has not received the countersigned copy of
this Amendment Letter within ninety (90) days after the date of signature of this Amendment Letter by the
World Bank, unless the World Bank shall have established a later date for such purpose.
In addition, please note that the approved Project Paper dated April 11, 2013 will be disclosed on the
World Bank's external website.
