Amendment Letter
Dear Ms. Rathman:
We refer to the Loan Agreement entered into between the International Bank for
Reconstruction and Development (the Bank) and the Port of Ploce Authority (the Borrower)
dated September 14, 2011, for the above-referenced Project ("Loan Agreement"), and the related
Guarantee Agreement between the Republic of Croatia (the Guarantor) and the Bank, of the same
date therewith.
We also refer to correspondences received from the Borrower June 10, 2014 and the
Guarantor's dated May 20, 2014 requesting: (a) a change in the Project's description; and (b) an
extension of Closing Date.
I am pleased to inform you that, after careful consideration, the Bank has acceded to the
aforementioned requests. Therefore, the Loan Agreement shall be amended as follows:
1.     The second paragraph in Schedule 1 to the Loan Agreement shall be revised to read as
follows:
"The Project consists of the Original Project."
2.     The Closing Date in Section IV.B.2 of Schedule 2 of the Loan Agreement shall be
revised to read "December 31, 2015."
All the other terms and conditions of the Loan Agreement, as amended hereby, shall
remain in full force and effect.
Please confirm your agreement to the foregoing amendment by signing and dating the
confirmation on the enclosed copy of this Amendment Letter and returning it to us. This
amendment will come into force and effect as of the date of your countersignature and upon
receipt by the Bank of this duly countersigned original Amendment Letter. Due to its interest in
this matter, a copy of this Letter is being sent to the Guarantor.
