Amendment No. 1 to the Agreement between the Bill & Melinda Gates Foundation and the
         International Bank for Reconstruction and Development and the International Development
           Association regarding the CGAP Robust Provider Ecosystems Single-Donor Trust Fund
              (Trust Fund No. 072712) (Bill & Melinda Gates Foundation Grant # OPP1155173)

1.      Reference is made to the Agreement between the Bill & Melinda Gates Foundation (the “Donor”)
and the International Bank for Reconstruction and Development and the International Development
Association (collectively, the “Bank”, and together with the Donor, the “Parties” and each a “Party”)
regarding the CGAP Robust Provider Ecosystems Single-Donor Trust Fund (Trust Fund No. 072712) (the
“Trust Fund”) effective as of October 31, 2016 (the “Agreement”).

2.         The Parties agree to amend the Agreement as follows:

           Paragraph 13 of the Agreement shall be deleted and replaced with the following:

           “13      It is expected that the Grant Funds will be fully disbursed by the Bank in accordance with
           the provisions of this Agreement by October 31, 2021. The Bank shall only disburse Grant Funds
           after that date with the prior approval of the Foundation. Either party may terminate this Agreement
           with three months’ prior notice in writing. Upon such termination, unless the parties hereto agree
           on another course of action, any agreement entered into by the Bank prior to termination to be
           funded by the Grant Funds shall not be affected by the termination, and the Bank shall be entitled
           to disburse the Grant Funds in respect of such agreements as if this Agreement had not been so
           terminated.”

3.         All other terms of the Agreement shall remain the same.

4.       Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into
this Amendment and act in accordance with these terms and conditions. The Parties are requested to sign
and date this Amendment, and upon possession by the Bank of this fully signed Amendment, and respective
amendments signed by all other donors to the Trust Fund, this Amendment shall become effective as of the
date of the last signature.
