RE: Amendment to the Trust Fund Administration Agreement between the Kingdom of Denmark and the
International Development Association concerning the Somalia Private Sector Development Re-
engagement Phase II Program Multi Donor Trust Fund
(TF No. TFO71648)
Lxcellency:
1.     We refer to the Administration Agreement between the Government of the Kingdom of
Denmark acting through the Ministry of Foreign Affairs of Denmark (the "Donor"), and the
Ir ternational Development Association (the "Bank") regarding the Somalia Private Sector
Development Re-engagement Phase II Program Multi Donor Trust Fund (TF No.TFO71648) (the
"Trust Fund") effective February 28, 2012 (the "Administration Agreement").
Pursuant to recent discussions between the Bank and the Donor, the Bank proposes to
airend the Administration Agreement as follows-
(i) Paragraph 3 of the Administration Agreement is amended to read as follows-
"3. The Donor will deposit the Contribution into such bank account designated by the
Bank in installments in accordance with the following schedule:
(a)  Promptly following countersignature of this Agreement by the Donor and
submission of a payment request by the Bank, Sixteen Million Danish Kroner
(DKK 16,000,000);
(b)  On or before December 31, 2013, upon submission of a payment request by
the Bank Ten Million Danish Kroner (DKK 10,000,000); and
(c)  On or before February 14, 2014, upon submission of a payment request by the
Bank Ten Million Danish Kroner (DKK 10, 000,000).
(ii) Paragraph 7.1 of Annex 2 to the Administration Agreement is amended to read as
follows-
" It is expected that the Contributions will be fully disbursed by the Bank by August 31,
2014. The Bank shall only disburse Contributions for the purposes of this Agreement
after such date with the written approval of the Donors."

3.     All other terms of the Arrangement shall remain the same.
4.     The Bank will disclose this Agreement and related information on this Trust Fund in
accordance with the World Bank Policy on Access to Information. By entering into this
Agreement, the Donor consents to disclosure of this Agreement and related information on this
Trust Fund.
5.     We propose that this letter shall constitute an amendment to the Administration
Agreement between the Bank and the Donor. Please confirm your acceptance to the foregoing,
on behalf of the Donor, by signing and dating the two originals, retaining one original for your
records and returning the other original to the Bank. Upon receipt by the Bank of the original
Amendment countersigned by you, this Amendment will become effective as of the date of the
countersignature.
