Integrated Nutrient Pollution Control Project
(Loan No. 4873-RO and GEF Grant No. TF058040-RO)
Amendment to the Loan and GEF Grant Agreements
We refer to the Loan Agreement between Romania (the Borrower) and the
International Bank for Reconstruction and Development (the Bank) (the Loan
Agreement), the Grant Agreement between Romania (the Recipient) and the Bank, acting
as an Implementing Agency of the Global Environment Facility (the GEF Grant
Agreement), and the Supplemental Letter on Performance and Monitoring Indicators (the
Supplemental Letter), for the above-referenced Project, dated December 28, 2007, and
your letter dated June 24, 2011 requesting certain amendments to the Loan Agreement,
GEF Grant Agreement and Supplemental Letter.
We hereby concur with your request and amend the Loan Agreement and GEF
Grant Agreement as follows:
1.    Item (v) of Part I of the description of the Project in Schedule 1 of the
Loan Agreement is deleted and the remaining item (vi) is renumbered as item (v).
2.    The Table set forth in Section IV.A.2 of Schedule 2 of the Loan
Agreement is amended as to reflect the requested reallocations. Accordingly, the revised
Table in paragraph 2 of Schedule 2 to the Loan Agreement is indicated in the attached
annex I to this letter.
3.    Item (v) of Part I of the description of the Project in Schedule 1 of the
GEF Grant Agreement is deleted and the remaining item (vi) is renumbered as item (v).
4.    The Table set forth in Section IV.A.2 of Schedule 2 of the GEF Grant
Agreement is amended as to reflect the requested reallocations. Accordingly, the revised
Table in paragraph 2 of Schedule 2 to the GEF Grant Agreement is indicated in the
attached annex 2 to this letter.

The revised Supplemental Letter is provided separately.
Please confirm your agreement with the foregoing, on behalf of Romania, by
signing, dating and returning to us the enclosed copy of this letter, as well as the revised
Supplemental Letter. These amendments will become effective upon receipt of the
countersigned copies of the two letters.
