Dear Dr. L6pez Ayll6n,
In response to the request for financial assistance made on behalf of Centro de Investigaci6n y
Docencia Econdmicas ("CIDE" or "Recipient"), I am pleased to inform you that the International Bank
for Reconstruction and Development ("World Bank"), acting as administrator of grant funds provided by
various donors ("Donors") under the Trust Fund for Regional Centers for Learning on Evaluation and
Results No. TFO71407 ("CLEAR Trust Fund"), proposes to extend to the Recipient for the benefit of the
Member Countries (as defined in the Annex to this Agreement), a grant in an amount not to exceed five
hundred ninety-five thousand United States Dollars (U.S. $595,000) ("Grant") on the terms and conditions
set forth or referred to in this letter agreement ("Agreement"), which includes the attached Annex, to assist
in the financing of the project described in the Annex ("Project").
This Grant is funded out of the abovementioned trust fund for which the World Bank receives
periodic contributions from the Donors. In accordance with Section 3.02 of the Standard Conditions (as
defined in the Annex to this Agreement), the World Bank's payment obligations in connection with this
Agreement are limited to the amount of funds made available to it by the Donors under the abovementioned
trust fund, and the Recipient's right to withdraw the Grant proceeds is subject to the availability of such
funds.
The Recipient represents, by confirming their agreement below, that they are authorized to enter
into this Agreement and to carry out the Project in accordance with the terms and conditions set forth or
referred to in this Agreement.
Please confirm the Recipient's agreement to.the foregoing by having an authorized official of
the Recipient sign and date an original copy of this Agreement, and returning it to the World Bank.
This Agreement shall become effective upon receipt by the World Bank of: (a) an original copy
of this Agreement countersigned by the Recipient; (b) an Annual Work Plan (as defined in the Annex)
for the first year of Project implementation, acceptable to the World Bank, and (c) evidence, acceptable
to the World Bank, that the Recipient's annual approved budget includes the Grant proceeds. Upon
compliance with the above mentioned conditions, the World Bank will send a notice of effectiv
the Recipient.

Provided, however, that the offer of this Agreement shall be deemed withdrawn if the World
Bank has not received the countersigned copy of this Agreement within 90 days after the date of
signature of this Agreement by the World Bank; unless the World Bank shall have established a later
date for such purpose.

ANNEX
Article I
Standard Conditions; Definitions
Standard Conditions. The Standard Conditions for Grants Made by the World Bank out of Various
Funds dated February 15, 2012 ("Standard Conditions") constitute an integral part of this Agreement,
with the following modifications:
References to "Member Country" in the Appendix to the Standard Conditions and in this
Agreement means any Member Country as defined in Section 1.02 (d) below.
1.01. Definitions. Unless the context requires otherwise, the capitalized terms used in this
Agreement have the meanings ascribed to them in the Standard Conditions or in this Agreement, and
the following definitions shall have the following meanings:.
(a) "Annual Work Plan" means any of the annual plans prepared by the Recipient and referred to
in Section 2.03 (c) of this Agreement, as the same may be amended from time to time with the
agreement of the World Bank.
(b) "CLEAR Center" means the regional center, established within the institutional structure of
CIDE, to support the development of national and sub-national monitoring and evaluation systems in
the Latin American region, to measure the effectiveness and results of public policies and programs.
(c) "CLEAR Regional Advisory Committee" or "Committee" means the committee referred to in
Section 2.03 (a) of this Agreement, as said committee may change from time to time with the
agreement of the World Bank.
(d) "Member Country" means any country in Latin America and the Caribbean that: (i) is a
member of the World Bank; and (ii) has been selected by the Recipient, in a manner acceptable to the
World Bank to benefit from Project activities.
Article II
Project Execution
2.01. Project Objectives and Description. The objective of the Project is to enhance the capacity of
CIDE to support the CLEAR Center in developing and providing, on a regional basis, high quality
monitoring and evaluation capacity building services to governmental and civil society clients. The
Project consists of the following Parts:
Part 1: CLEAR Center's Development
(a) Strengthening the CLEAR Center's technical, managerial and administrative capacity,
through: (i) the setting up of management and administrative systems; (ii) the carrying out of capacity
building activities for the CLEAR Center's staff; (iii) the implementation of a web and
communication's strategy; and (iv) the financing of external financial audits.

including, inter alia: (i) the definition of its internal structure, systems and processes; a dIi) t
planning and carrying out of the Committee's meetings.

Part 2: Strengthening the CLEAR Center's Capacity to Provide Services to Clients
Providing technical assistance to the CLEAR Center to develop and provide monitoring and
evaluation capacity building services to clients, including, inter alia: (a) the carrying out of training and
workshops; (b) the provision of advisory services; (c) the carrying out of research activities; (d) the
preparation and dissemination of publications; and (e) the provision of evaluation services.
Part3: CLEAR Center's Monitoring and Evaluation
Carrying out of activities to monitor, evaluate, and measure the CLEAR Center's
effectiveness.
2.02. Project Execution Generally. The Recipient declares its commitment to the objectives of the
Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of: (a)
Article II of the Standard Conditions; (b) the "Guidelines on Preventing and Combating Fraud and
Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants", dated October 15,
2006 and revised in January 2011 ("Anti-Corruption Guidelines"); and (c) this Article II.
2.03.  Institutional and Other Arrangements. For purposes of the implementation of the Project,
the Recipient shall:
(a) maintain, until the completion of the Project, the CLEAR Regional Advisory Committee,
with terms of reference, representatives, operating procedures and functions acceptable to the World
Bank, including inter alia, the following functions: (i) to advise and contribute during the
implementation of the CLEAR Center's activities and programs on a regional basis; (ii) to oversee
progress in achieving the CLEAR Center's objectives; and (iii) to provide guidance to the CLEAR
Center's strategic direction.
(b) maintain key staff for the implementation of the Project, including without limitation a
Project manager, a finance specialist and procurement specialist, all with experience and
qualifications acceptable to the World Bank.
(c) prepare the Annual Work Plans, in form and substance satisfactory to the World Bank, to ensure
the efficient carrying out of the Project, including, inter alia: (i) a detailed description and strategic
objectives of the Project activities; (ii) a timetable, a budget, a financing plan for the Project activities;
and (iii) a list of the staff designated for the carrying of the Project activities. Each Annual Work Plan
shall cover the period of one fiscal year of the Recipient, and shall be furnished to the World Bank not
later than October 31 of each year.
(d) maintain, throughout the duration of the Project, financial management mechanisms,
acceptable to the World Bank, to ensure that Grant proceeds are included as part of the Recipient's
annual approved budget.
(e) prior to undertaking Project activities in any Member Country, ensure that arrangements
acceptable to the World Bank have been made to ensure the respective Member Country's
commitment to: (i) support the objectives of the Project; (ii) provide its no objection to have the
Recipient carrying out activities in its territory; (iii) agree that the Recipient shall receive the proceeds
of the Grant from the World Bank for the implementation of activities related to the Project a
carried out in said Member Country's territory; (vi) enable the representatives of the D  I

necessary measures to allow the Recipient to comply with its respective obligations under this
Agreement
2.04. Donor Visibility and Visit. (a) The Recipient shall take or cause to be taken all such measures
as the World Bank may reasonably request to identify publicly the Donors' support for the Project.
(b) For the purposes of Section 2.09 of the Standard Conditions, the Recipient shall, upon the
World Bank's request, take all measures required on its part to enable the representatives of the
Donors to visit any part of the Member Countries' territory for purposes related to the Project.
2.05. Project Monitoring, Reporting and Evaluation. (a) The Recipient shall monitor and evaluate
the progress of the Project and prepare Project Reports in accordance with the provisions of Section
2.06 of the Standard Conditions and on the basis of indicators set forth below in paragraph (b) of this
Section. Each Project Report shall cover the period of (1) one calendar semester, and shall be
furnished to the World Bank not later than (1) one month after the end of the period covered by such
report.
(b) The performance indicators referred to above in paragraph (a) consist of the following:
(i)  At least fifty percent (50%) of the CLEAR Center's clients are from Latin American
countries other than Mexico.
(ii)  The CLEAR Center has increased the range of capacity building programs to be
implemented from basic monitoring and evaluation methods to impact evaluations
and performance-based budgeting for practitioners and policy makers.
(iii)  Eighty-five percent (85%) of clients rate the quality and utility of the CLEAR
Center's services highly.
(iv)  The year-end review of the program yields satisfactory performance.
(c) The Recipient shall prepare the Completion Report in accordance with the provisions of
Section 2.06 of the Standard Conditions. The Completion Report shall be furnished to the World
Bank not later than (6) six months after the Closing Date.
2.06. Financial Management. (a) The Recipient shall ensure that a financial management system
is maintained in accordance with the provisions of Section 2.07 of the Standard Conditions.
(b) The Recipient shall ensure that interim unaudited financial reports for the Project are
prepared and furnished to the World Bank not later than (1) one month after the end of each calendar
semester, covering the semester, in form and substance satisfactory to the World Bank.
(c) The Recipient shall have its Financial Statements audited in accordance with the provisions
of Section 2.07 (b) of the Standard Conditions. Each such audit of the Financial Statements shall
cover the period of one fiscal year of the Recipient. The audited Financial Statements for each such
period shall be furnished to the World Bank not later than (6) six months after the end of such period.
2.07. Procurement. All goods, non-consulting services, and/or consultants' services requir  UIAC

Borrowers", dated January 2011 ("Procurement Guidelines"), and the "Guidelines: Selection and
Employment of Consultants under IBRD Loans and IDA Credits and Grants by World Bank
Borrowers", dated January 2011 ("Consultant Guidelines").
2.08. Any contract for Eligible Expenditures to be financed in full or in part out of the proceeds of
the Grant shall be included in the procurement plan prepared by the Recipient and approved by the
World Bank in accordance with the Procurement Guidelines and the Consultant Guidelines, prior to
initiating the procurement process for any such contract.
Article III
Withdrawal of Grant Proceeds
3.01. Eligible Expenditures. (a) The Recipient may withdraw the proceeds of the Grant in
accordance with the provisions of: (i) the Standard Conditions; (ii) this Section; and (iii) such
additional instructions as the World Bank may specify by notice to the Recipient (including the
"World Bank Disbursement Guidelines for Projects" dated May 2006, as revised from time to time by
the World Bank and as made applicable to this Agreement pursuant to such instructions), to finance
Eligible Expenditures as set forth in the following table. The table specifies the categories of Eligible
Expenditures that may be financed out of the proceeds of the Grant ("Category"), the allocations of
the amounts of the Grant to each Category, and the percentage of expenditures to be financed for
Eligible Expenditures in each Category:

(b) For the purposes of this paragraph, the term:
(i)   "Training and Workshops" means the reasonable costs, as shall have been approved
by the World Bank, for training and workshops conducted under the Project,
including tuition, travel and subsistence costs for training and workshop participants,
costs associated with securing the services of trainers and workshop spea  ental
of training and workshop facilities, preparation and reproduction
workshop materials, and other costs directly related to training co  and workshoft
preparation and implementation (but excluding goods and consul  'se   d

(ii)  "Operating Costs" means the reasonable costs, as shall have been approved by the
World Bank, for the incremental expenses incurred on account of Project
implementation, consisting of vehicle operation and maintenance, communication
and insurance costs, banking charges, rental expenses, office (and office equipment)
maintenance, utilities, document duplication/printing, consumables, travel cost and
per diem for Project staff for travel linked to the implementation of the Project, and
salaries of contractual staff for the Project (but excluding consultants' services and
salaries of officials of any of the Member Country's civil service).
3.02. Withdrawal Conditions. Notwithstanding the provisions of Section 3.01 of this Agreement,
no withdrawal shall be made:
(a) for payments made prior to the date of countersignature of this Agreement by the Recipient,
except that withdrawals up to an aggregate amount not to exceed fifty thousand United States Dollars
(US $ 50,000) equivalent, may be made for payments made prior to this date but on or after May 15,
2012, for Eligible Expenditures; and
(b) for payments made for Eligible Expenditures covered by Category (1) in the table above,
until the World Bank has receipt, evidence that the CLEAR Regional Advisory Committee has been
established in a manner acceptable to the World Bank.
3.03. Withdrawal Period. The Closing Date referred to in Section 3.06 (c) of the Standard
Conditions is September 30, 2014.
Article IV
Termination
4.01.  This Agreement and all obligations of the parties under it shall terminate if the Grant has not
been declared effective ninety (90) days after countersignature of this Agreement by the Recipient,
unless the World Bank, after consideration of the reasons for the delay, establishes a later date for the
purpose of this Section. The World Bank shall promptly notify the Recipient of such later date.
