Re:   Global Environment Facility Grant Agreement to The Nature
Conservancy for Sustainable Financing and Management of
Eastern Caribbean Marine Ecosystems Project
Amendment to the Grant Agreement - Grant No.TF0 10220
Dear Mr. Kramer:
We refer to the Grant Agreement between the International Bank for Reconstruction and
Development ("the World Bank") acting as an implementing agency of the Global Environment
Facility ("GEF") and as trustee of the GEF Trust Fund (the GEF Trust Fund) and The Nature
Conservancy ("Recipient"), dated September 6, 2011 (the "Agreement"), and your letter dated
January 29, 2014, request the World Bank to amend the Agreement.
We are happy to inform you that the Bank agrees to your request and proposes to amend
the Agreement as follows:
1. Section B.1 under Schedule I of the Agreement (Project Description) is deleted in its
entirety.
2. Paragraph 8 (Co-Financing) under the Appendix (Definitions) is amended to read as
follows:
"Co-financing means: (a) an amount of US$ 1,500,000 equivalent to be extended to the
CBF by the Recipient; and (b) an amount of US$12,795,870 equivalent to be extended by
KfW to the CBF, all for the purpose of assisting in the joint cofinancing of Part A. I (b)
of the Project, in accordance with the Co-financing Agreement.
All other provisions of the Agreement, except as amended herein, shall remain in full
force and effect.
The World Bank will disclose this Amendment and related information on this Grant in
accordance with the World Bank Policy on Access to Information. By entering into this
Amendment, the Recipient consents to disclosure of this Amendment and related information on
this Grant.


Please indicate your agreement with the foregoing amendment to the Agreement on
behalf of the Recipient by countersigning, dating, and returning to us the enclosed copy of this
Agreement. Upon receipt by the World Bank of the copy of this Agreement countersigned by
you, this Agreement will become effective as of the date of the countersignature.
