No The World Bank Crecer Sano: Guatemala Nutrition and Health Project (P159213) I. PROJECT STATUS AND RATIONALE FOR RESTRUCTURING 1. While the Project was approved by the Executive Board of Directors on March 24, 2017, Congressional approval took place only in February 27, 2019. The Ministry of Public Finance (MINFIN) twice requested to extend the signing deadline for the Project. The first extension was granted by the Bank on September 13, 2018, setting the new signing deadline of March 22, 2019; a second extension was granted by the Bank on March 20, 2019, establishing the revised signing deadline approved by the Bank is May 21, 2019. 2. The Congressional Decree that approved Crecer Sano (Decree No. 1-2019) includes the decision to change the Project’s institutional arrangements by replacing the original implementing agency - Guatemala’s Executing Unit of the Social Development Fund (MIDES-FODES) -- with the Ministry of Public Health and Social Assistance (MSPAS). 3. This Restructuring Paper seeks management’s approval to revise the Project’s institutional arrangements, as approved by Decree No. 1-2019, and to extend the Project’s closing date by 22 months to account for the initial delay in effectiveness. Additional adjustments due to the change in the implementation arrangements are also included in this request. As the original Loan Agreement has not yet been signed, the Bank prepared a Reinstated Loan Agreement to incorporate the above-mentioned changes. II. DESCRIPTION OF PROPOSED CHANGES 1. The restructuring request proposed the following changes: (a) Implementing Agency: The MSPAS will be the implementing agency in line with Decree No. 1-2019. (b) Results Framework: End-target dates for all indicators have been revised from December 31, 2021 to December 31, 2023, to reflect the new closing date. Responsibility for data collection has been transferred from MIDES-FODES/PIU to MSPAS/PIU where applicable. (c) Loan Closing Date: The Closing Date will be extended by 22 months to account for the two-year lag between Board and Congressional approvals. The proposed revised Closing Date will be January 31, 2024. Consequently, the implementation schedule and procurement plan have been revised. (d) Disbursement Arrangements: The Disbursement and Financial Information Letter has also been modified to account for the new implementation arrangements. Likewise, the corresponding disbursement condition pertaining to Component 2 (Conditional Cash Transfers) has been modified to reflect the process through which the Anti-Corruption Guidelines will be adopted by the Social Protection Trust Fund (which includes MIDES and the Financial Institution paying the CCTs). These changes are reflected in the Loan Agreement in Section IV. B.1 (b)(ii) of Schedule 2 (Withdrawal Conditions; Withdrawal Period). As a result of this change, Article IV (Remedies of the Bank) has also been revised. The World Bank Crecer Sano: Guatemala Nutrition and Health Project (P159213) (e) Disbursement Estimates: Given the extension of the Closing Date, disbursement estimates were revised, including expected attainment dates for Disbursement-linked Indicators (DLIs). (f) Legal Covenants and Effectiveness Conditions: Given the change in the Project’s implementing agency, all covenants describing the obligations of MIDES-FODES as an implementing agency have been revised to transfer such obligations to MSPAS. Further, the Effectiveness Condition stating that “The Inter Institutional Arrangements have been duly executed by their respective parties…” was modified to become a dated covenant due no later than three months after the Effectiveness Date. (g) Financial Management and Procurement: The Bank carried out the corresponding fiduciary assessments of MSPAS concluding that it has adequate capacity to implement the Project, subject to the implementation of agreed mitigation measures. Those additional measures were also reflected as covenants in the revised Loan Agreement. The Procurement Plan was updated accordingly. It should be noted that, as a result of the assessments, the Project’s overall fiduciary risk rating was revised from “high” to “substantial.” (h) Implementation Schedule: The implementation schedule was modified to reflect the above changes. 2. As this operation is co-financed by a Global Financing Facility Grant to MINFIN in the amount of US$9 million, the above referenced changes will also be reflected in the Grant Agreement (GFF Grant Number TF0A4027).
