Box 1130 Addis Ababa, Ethiopia Dear Ms. Baker, Amendment to the Trust Fund Administration Arrangement between the Government of Canada, as represented by the Minister for International Cooperation, acting through the Canadian International Development Agency (CIDA) and the International Development Association ("IDA") concerning the Multi Donor Trust Fund for the Ethiopia Productive Safety Nets Partnership (Trust Fund No. TF055287) We refer to the above referenced Arrangement (the Arrangement), as amended to date, between the International Development Association (IDA), and the Government of Canada, as represented by the Minister for International Cooperation, acting through the Canadian International Development Agency (CIDA) (the Donor), dated January 4, 2006, for the above mentioned Multi-donor Trust Fund (MDTF). We also refer to a recent discussion between IDA and CIDA, whereby CIDA has agreed to provide an additional contribution of CAD 400,000 for the MDTF activities. In order to receive the Additional Contribution from the Donor, IDA proposes to amend the Arrangement in respect of the following paragraphs: 1. First paragraph of the Arrangement: "We are pleased to acknowledge on behalf of the International Development Association, the intention of the Government of Canada, as represented by the Minister for International Cooperation, acting through the Canadian International Development Agency (CIDA) (the Donor) to make available as a grant the sum of: (a) one hundred thousand Canadian Dollars (CAD 100,000) as an initial contribution ("Initial Contribution"); and (b) four hundred thousand Canadian Dollars (CAD 400,000) ("Additional Contribution") for the Ethiopia Productive Safety Nets Partnership (the "Project"). Other donors are also expected to contribute to this trust fund on the terms and conditions specified in the Annexes to this Arrangement. For the purpose of this Arrangement, the terms Initial Contribution and Additional Contribution, are collectively called the "Contribution". Ms. Amy Baker -2- March 20, 2013 2. Sixth paragraph of the Arrangement: The Donor will deposit the Contribution into such bank account designated by IDA in installments in accordance with the following schedule: i. Initial Contribution: an amount of one hundred thousand Canadian dollars (CAD 100,000) has been paid to IDA for the Donor's fiscal year 2005/06; ii. Additional Contribution: promptly following countersignature of this Amendment by the Donor, an amount of four hundred thousand Canadian dollars (CAD 400,000) for the Donor's fiscal year 2012/13. 3. Ninth paragraph of the Arrangement: Except with respect to the Deposit Instructions, any notice, request or other communication to be given or made under this Arrangement will be in writing and delivered by mail, fax, or e-mail to the respective participant address specified below or at such other address as such participant notifies in writing to the other participants from time to time: For IDA: Mr. Wolter Soer The World Bank P.O. The following paragraphs to be added to the Arrangement as the Tenth and Eleventh paragraphs: To the best of the knowledge of the Bank and the Donor: a) No offer, gift or payment, consideration or benefit of any kind, which constitutes an illegal or corrupt practice, has or will be made to anyone, either directly or indirectly, as an inducement or reward for the award or execution of this Arrangement. Any such practice will be grounds for terminating this Arrangement or taking any other corrective action as required. b) No member of the Canadian House of Commons has been or will be admitted to any share or part of this Arrangement made or to any benefit to arise therefrom; Ms. Amy Baker -3- March 20, 2013 c) No current or former public office holder or public servant of Canada who is not in compliance with Canada's Conflict of Interest and Post-Employment Code for Public Office Holders or the Values and Ethics Code for the Public Service has derived or will derive a direct benefit from this Arrangement. d) Any payment to be made under this Arrangement is subject to there being an appropriation by the Parliament of Canada for the fiscal year in which the payment is to be made. If the Donor's appropriation is changed by the Parliament of Canada, the Donor may reduce the Contribution, or terminate this Arrangement. In the event of any termination of this Arrangement, IDA and the Donor will consult prior to any funds being returned by IDA to the Donor pursuant to Annex 2, Paragraph 7 to discuss a commonly agreeable reallocation of such funds. In the event that any remaining Contribution funds are returned to the Donor in accordance to Annex 2, Paragraph 7 such funds will be transferred to the Donor's Balance Account (TF No. 029048) held at the Bank. All other provisions of the Arrangement, except amended herein, will remain in effect. Please confirm your agreement with the foregoing, on behalf of the Donor, by signing, dating, and returning to us the enclosed copy of this letter of amendment. Upon receipt by IDA of the copy of this letter of amendment countersigned by you, this letter of amendment will become effective as of the date of countersignature.
